SERVICE AGREEMENT

This Service Agreement ("Agreement") is entered into between you ("Client") and vLeap e.U, also known as VirtualLeap ("vLeap"), located at Anton Ehrenfried-Straße 9, 2020 Hollabrunn, Lower Austria, Austria ("Agency").

1. SERVICES

The Agency agrees to provide consulting and development services to the Client (the "Services").

2. PAYMENT

Payment is done on a monthly, quarterly, or yearly subscription basis. Subscription fees are non-refundable. Should the subscription be canceled, paused, or resumed, the remaining days of the subscription will be halted and will resume once the subscription is reactivated.

3. TERMINATION

The subscription can be canceled, paused, or resumed at any time, for any reason, without notice.

4. CONFIDENTIALITY

The Agency agrees to keep all Client codes confidential, and to delete them from all of its systems following the termination of the subscription.

5. INTELLECTUAL PROPERTY

All work product arising from this Agreement will be the property of the Client.

6. LIMITATION OF LIABILITY

The Agency is not responsible for any harm caused by the code or any security vulnerabilities within the code. The Client is responsible for conducting necessary code audits.

7. INDEMNIFICATION

The Client agrees to indemnify, defend, and hold harmless the Agency from any and all claims, losses, liabilities, damages, expenses, and costs (including attorneys' fees and court costs) resulting from the Client's violation of this Agreement or any breach of the Client's representations and warranties contained in this Agreement.

8. NO WARRANTY

The Agency provides its services "as is" and without any warranty of any kind, either express or implied.

9. DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Agency is based (Austria). Any disputes arising out of this Agreement shall be resolved in accordance with internationally recognized dispute resolution procedures.

10. FORCE MAJEURE

In the event the Agency is unable to perform Services due to illness or other circumstances beyond its control, the subscription will be automatically paused. The Agency will notify the Client in such an event.

11. ACKNOWLEDGEMENT

By using the Agency's services, the Client acknowledges having read, understood, and agreed to the terms and conditions of this Agreement.
